These Terms of Service (“Terms”) govern your access to and use of the Liya Engine platform, APIs, domain packs, documentation, and all related services (collectively, the “Service”) provided by Liya Engine, Inc. (“Liya Engine,” “we,” “us,” or “our”). By creating an account or using the Service you agree to these Terms and our Privacy Policy.

We may add, modify, or discontinue features with reasonable notice. Material reductions in functionality provided under a paid plan will be communicated at least 30 days in advance.
To access most features you must register for an account. You agree to provide accurate, complete information and to keep that information current. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials. You must notify us immediately at [email protected] if you suspect unauthorized access to your account.
You may not share your account credentials with others or create accounts to circumvent usage limits or pricing.
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You are solely responsible for your use of the Service and any content you submit or generate through it.
Your subscription plan includes defined API quotas (requests per month, tokens per request). Exceeding your plan quota may result in throttling, overage charges (where applicable), or temporary suspension of API access. We reserve the right to implement rate limits to protect the stability of the platform for all users.
Automated scraping, bulk requests designed to circumvent per-request pricing, or any use that degrades service quality for other customers is prohibited. We reserve the right to throttle or suspend accounts engaging in such conduct.
The Liya Engine platform, APIs, models, software, documentation, domain packs (including their structure, schemas, and system prompts), trademarks, and all related intellectual property are owned by Liya Engine, Inc. and licensed to you on a limited, non-exclusive, non-transferable basis solely for your use of the Service.
You retain all rights to your data, content, and custom configurations that you create or upload to the Service. By submitting data to the Service you grant us a limited license to process it for the purpose of providing the Service to you. We do not use your data to train our models or any third-party models.
Each party may have access to the other’s confidential information during the term of these Terms. Both parties agree to hold such information in confidence, to use it only for purposes of the business relationship, and not to disclose it to third parties without the disclosing party’s prior written consent, except as required by law.
Subscription fees are billed in advance on a monthly or annual basis as selected at sign-up. Annual plans are billed in full at the start of each term. All fees are non-refundable except as required by law or as expressly stated in these Terms.
Overages beyond plan quotas are billed in arrears at the rates published on our pricing page. We will provide notice before charging overages. If payment fails, we may suspend access after a reasonable grace period. Prices may be updated with 30 days’ notice; price changes do not apply until your next renewal period.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY AI OUTPUTS WILL BE ACCURATE OR COMPLETE. AI-GENERATED OUTPUTS ARE NOT A SUBSTITUTE FOR PROFESSIONAL ADVICE IN HEALTHCARE, LEGAL, FINANCIAL, OR OTHER REGULATED DOMAINS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIYA ENGINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Liya Engine, its officers, directors, employees, and agents from any claim, liability, loss, damage, or expense (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
These Terms are effective as long as you have an account or use the Service. Either party may terminate at any time. You may cancel your account from your dashboard settings. We may suspend or terminate your account for violation of these Terms, non-payment, or any other conduct that we determine, in our sole discretion, is harmful to the Service or other users.
Upon termination, your right to use the Service ceases immediately. We will provide a reasonable opportunity to export your data as described in our Data Processing Agreement.
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before the changes take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.
